Terms of Service

These Terms of Service form an agreement between you and Bayon AI, a business based in Washington, United States at 309 Highland Dr., Seattle, WA 98109, United States, and the operator of Thunderlist. They apply to the Thunderlist website, progressive web app, Android app, account services, support surfaces, and related paid features. Contact support@bayonai.com with questions.

By creating an account or using Thunderlist, you agree to these Terms and acknowledge the Privacy Policy. If you use Thunderlist for an organization, you confirm that you have authority to bind it. If you do not agree, do not use the service.

You must be at least 13 years old. If you have not reached the age at which local law lets you enter this agreement or consent to relevant data processing on your own, a parent or legal guardian must authorize your use and accept these Terms for you. Thunderlist is not directed to children under 13.

You may use the service only where doing so is lawful. You may not use it if applicable sanctions or export-control rules prohibit Bayon AI from providing it to you.

Provide accurate account information, keep your sign-in methods secure, and notify us promptly if you suspect unauthorized access. You are responsible for activity performed through your account unless applicable law provides otherwise.

One person or organization must not misrepresent identity, transfer an account without authorization, or use automated account creation to evade service limits. Bayon AI may require email verification or proportionate security checks.

Subject to these Terms, Bayon AI grants you a limited, non-exclusive, non-transferable, revocable right to use Thunderlist for lawful personal or internal business task management. No ownership in Thunderlist software, branding, or service technology is transferred to you.

Thunderlist may include web, installed, and offline functionality. Some features require a supported device, current app version, network connection, notification permission, third-party account, or paid plan.

Use Thunderlist responsibly. You must not use the service to:

We may investigate suspected misuse and take proportionate action, including removing unlawful material, rate-limiting access, preserving required evidence, or suspending an account. We will provide notice and a chance to respond when reasonably possible and legally appropriate.

• break the law, infringe rights, harass, threaten, exploit, or facilitate harm
• store malware, stolen credentials, illegal content, or highly sensitive secrets for which Thunderlist is not designed
• probe, bypass, disable, or interfere with authentication, permissions, quotas, security, service availability, or another user's data
• scrape, reverse engineer, resell, sublicense, or commercially exploit the service except where law expressly permits or Bayon AI agrees in writing
• send spam, deceptive invitations, or abusive notifications, or use automated access outside documented interfaces and reasonable limits

You retain ownership of content you create. You grant Bayon AI a worldwide, non-exclusive license to host, copy, transmit, display, back up, and otherwise process that content only as needed to operate, secure, support, and improve Thunderlist or comply with law. This license ends when the content is deleted from active systems, subject to shared content, backups, and required retention described in the Privacy Policy.

You confirm that you have the rights and permissions needed to add, upload, or share your content. Thunderlist is not a regulated records vault; do not use it as the only copy of irreplaceable information or for secrets requiring a specialized compliance environment.

List owners control membership and available collaborator roles. When you share a list, members may view, copy, edit, comment on, assign, or delete content as their role allows. Review recipients and permissions before sharing confidential material.

Removing a collaborator stops future authorized access but cannot recall information they already lawfully saw or exported. Content you add to another person's list may remain under that owner's control if your account is deleted.

Free and paid plan features, limits, price, currency, taxes, billing interval, trial eligibility, and renewal terms are shown before purchase. A paid subscription automatically renews for the displayed period until canceled through the provider that processed the purchase. You authorize that provider to charge the applicable amount at renewal.

Web purchases are processed by Stripe. Native purchases may be processed by Google Play and coordinated through RevenueCat. Those providers may apply additional payment, refund, and marketplace terms. Manage or cancel through the billing-management option shown in Thunderlist or the relevant store account. Cancellation normally takes effect at the end of the current paid period; deleting Thunderlist or your account does not by itself cancel a store subscription.

Unless required by law or the billing provider's rules, charges already incurred are non-refundable and partial billing periods are not prorated. Bayon AI will provide advance notice of a material price change when required, and the new price will apply no earlier than a permitted renewal.

Nothing in these Terms excludes a legal guarantee, cooling-off right, conformity remedy, refund, cancellation right, or other protection that cannot lawfully be waived. EU/EEA consumers may have a 14-day withdrawal right for a distance service contract and statutory remedies when a digital service is faulty or not as described. The exact rule can depend on how and when service performance begins and on the checkout provider's legally required disclosures.

Contact support@bayonai.com if Thunderlist does not conform to what was promised. Store purchases should also be raised through the store's support and refund process.

Thunderlist depends on third-party infrastructure and may link to or connect with third-party stores, billing services, authentication providers, or agent tools. Their products and accounts are governed by their own terms and policies. Bayon AI is responsible for Thunderlist, not for an independent third-party service outside its control.

If you authorize an integration, you direct Thunderlist to exchange the information needed for that integration. Review its access before approval and revoke access when it is no longer needed.

We aim to provide a reliable, offline-capable service, but Thunderlist may experience maintenance, outages, synchronization conflicts, provider failures, or feature changes. Keep appropriate exports or independent copies of important content.

We may modify or discontinue a feature for security, legal, technical, or product reasons. When a change materially reduces a paid service, we will provide notice or a remedy required by applicable law. Updates needed for security or legal compliance may take effect immediately.

You may stop using Thunderlist and request account deletion at any time. Cancel any paid subscription separately through its billing provider.

Bayon AI may restrict or suspend access when reasonably necessary to address a security risk, unlawful conduct, serious or repeated breach, unpaid charge, or threat to users or the service. Where practical, we will explain the reason and offer a way to appeal. On termination, your license ends; provisions that by nature should survive will survive, including ownership, accrued payment obligations, lawful retention, disclaimers, liability, and disputes.

Thunderlist software, design, text, branding, and service technology are owned by Bayon AI or its licensors. Open-source components remain governed by their own licenses and notices. The Terms do not restrict rights granted by an applicable open-source license.

If you send feedback, you allow Bayon AI to use it without restriction or compensation, provided we do not publicly identify you without permission.

Thunderlist is provided with reasonable care and skill. Except for promises expressly made in these Terms and rights that cannot be excluded, the service is provided on an “as available” basis and Bayon AI does not promise uninterrupted, error-free, or loss-free operation or that Thunderlist will meet every specialized requirement.

Nothing here excludes liability that cannot legally be excluded, including liability for fraud, willful misconduct, gross negligence where applicable, death or personal injury caused by negligence, or mandatory consumer remedies.

To the fullest extent permitted by law, neither party is liable for indirect or consequential loss that was not reasonably foreseeable when the agreement was made. Bayon AI is not liable for loss caused by your unauthorized sharing, failure to secure an account or device, unsupported modification, or an independent third-party service outside Bayon AI's reasonable control.

These limits do not reduce mandatory consumer rights. If you use Thunderlist for business, additional exclusions or limits agreed in a separate written contract take precedence for that business use.

For consumers, the law and courts available under mandatory rules where you live remain available, and these Terms do not force you to waive them. For non-consumer use, these Terms are governed by the laws of the State of Washington, excluding conflict-of-law rules, and disputes must be brought in the state or federal courts located in King County, Washington, unless a separate written agreement says otherwise.

We may update these Terms to reflect product, provider, security, or legal changes. We will update the effective date and give reasonable advance notice of a material change when required. A change will not retroactively take away accrued consumer rights.

If a provision is unenforceable, the remaining provisions continue to apply. A delay in enforcement is not a waiver. You may not transfer this agreement without consent; Bayon AI may transfer it as part of a reorganization or sale if your rights remain protected. These Terms and any checkout disclosures are the agreement for the service unless a separate written agreement applies.
